Terms & Conditions
These Terms and Conditions apply to all organizations, groups, or individuals (the "Organizer") hosting a fundraising initiative (the "Fundraiser") in partnership with Happy Hippo Bath Co. and Roam Fundraisers (collectively, "Happy Hippo").
1. Approval and Participation
All Fundraisers must be approved by Happy Hippo prior to the commencement of any sales. Happy Hippo reserves the right, in its sole discretion, to deny an application or revoke approval at any time if the Fundraiser does not align with our brand values or safety standards.
2. Financial Terms and Payouts
Happy Hippo agrees to share a portion of the proceeds from the Fundraiser with the Organizer based on the following structure:

Profit Sharing: The Organizer is eligible to receive up to 20% of the net profits generated by their specific Fundraiser.

Net Profit Calculation: For the purposes of this agreement, "Net Profit" is defined as the total gross sales minus the Cost of Goods Sold (COGS), applicable shipping costs and applicable taxes.

Reporting: All reporting available to the Organizer prior to final Net Profit Calculation are estimates.

Shipping Costs: All shipping and logistical costs associated with the delivery of fundraising products will be subtracted prior to calculation of the net profits.

Payout Timeline: Happy Hippo will provide a final accounting and disperse the net proceeds to the Organizer within forty-five (45) days of the Fundraiser’s closing date. Payment can only be made to the approved Organizer on file.
3. Use of Branding and Trademarks
"Happy Hippo," "Roam Fundraisers," and all associated logos, character art (including but not limited to the Hippo, Unicorn, and Dino characters), product photography, trade dress, and product names are trademarks of Happy Hippo.

Pre-Approval: Organizers may not create their own promotional materials using Happy Hippo trademarks without express prior written consent.

Limited License: Upon approval, Happy Hippo grants a limited, non-exclusive license to use provided marketing assets solely for the duration of the approved Fundraiser.
4. Liability and Indemnification
The Organizer acknowledges that Happy Hippo is a product supplier and beneficiary of the partnership, not the event host.

Responsibility: The Organizer is solely responsible for the planning, safety, and execution of the Fundraiser.

Indemnity: The Organizer agrees to indemnify and hold harmless Happy Hippo, its directors, and employees from any claims, damages, or expenses (including legal fees) arising out of the Organizer’s Event or the actions of its volunteers, organizers, or participants.
5. Compliance with Laws
The Organizer agrees to conduct the Fundraiser in compliance with all federal, provincial, and municipal laws. This includes obtaining any necessary local permits or licenses required for fundraising in their specific jurisdiction. This includes, but is not limited to, any required reporting of fundraising proceeds to tax authorities.
6. Privacy and Data
Any personal information of participants collected during the Fundraiser is to be used solely for the administration of that specific event.

Data Security: The Organizer must ensure that participant data is kept secure.

Transfer of Data: If participant info is shared with Happy Hippo for shipping purposes, Happy Hippo will handle that data in accordance with its own Privacy Policy.
7. Governing Law
These Terms and Conditions shall be governed by the laws of the Province of Alberta and the federal laws of Canada. Any disputes shall be settled in the exclusive jurisdiction of the courts located in Edmonton, Alberta.
